Terms & Conditions (B2B Only)

These Terms & Conditions apply to all orders placed through this Website and all sales of products supplied by Scenic Props ApS, trading as Stage Props ApS ("we", "us", "our"). By placing an order, you confirm that you have read, understood, and accepted these Terms.

1. Business Customers Only (No Consumer Sales)

This Website presents professional stage props intended exclusively for use in theatre, film, television, and other scenographic productions.

The Products displayed are not marketed or intended as consumer products and are not designed for personal or recreational use.

By placing an order through this Website, you confirm that:

We do not sell to consumers and do not accept Orders for private or personal use. We reserve the right to request proof of business or professional status and to refuse or cancel any Order that appears to be placed by a consumer.

2. Definitions

Customer / You: the business, organisation, or professional entity placing an Order
Products: stage props and related consumables sold on this Website
Order: a purchase request submitted by you
Contract: the agreement between you and us for the supply of Products

3. Orders & Contract Formation

3.1. All Orders placed through this Website are subject to acceptance by us.
3.2. A Contract is formed only when we confirm acceptance of your Order, for example by order confirmation or dispatch confirmation.
3.3. We reserve the right to refuse or cancel any Order at our discretion, including in cases of suspected consumer purchase, pricing errors, stock issues, payment issues, or compliance concerns.

4. Prices, VAT & UK Import Requirements

4.1. All prices are shown in GBP and exclude VAT unless otherwise stated.
4.2. Products are supplied and dispatched from Denmark. EU VAT is not charged on exports to the United Kingdom.

4.3. Orders are supplied on the basis that the Customer is responsible for UK import clearance and any applicable import VAT, customs duties, brokerage charges, customs clearance fees, or other charges arising upon importation.

4.4. Customers importing Products into Great Britain must provide a valid GB EORI number when placing an Order through the Website. Customers in Northern Ireland may be subject to different EORI and customs requirements and should contact us before ordering if they are unsure which requirements apply.

4.5. For consignments with an intrinsic value of £135 or less, where the Customer is registered for UK VAT and provides a valid UK VAT registration number, UK VAT is not charged by us and the Customer is responsible for accounting for UK VAT under the applicable reverse charge procedure.

4.6. The £135 threshold is based on the intrinsic value of the goods in the consignment. Separately stated transport and insurance charges are not included in the intrinsic value for this purpose.

4.7. If the intrinsic value of your Order is £135 or less and your organisation does not have a valid UK VAT registration number, please contact us before placing the Order.

4.8. For consignments with an intrinsic value above £135, normal UK import VAT and customs rules apply. Under our standard DAP delivery terms, the Customer is responsible for import clearance and any applicable UK import VAT, customs duties, brokerage charges, customs clearance fees, or other import-related charges.

4.9. We reserve the right to request additional information or documentation concerning the Customer's business, VAT, EORI, or import status and to refuse or cancel an Order where the information provided is incomplete, incorrect, or cannot be verified.

4.10. We reserve the right to charge or collect VAT or any other tax where required by applicable law.

4.11. We reserve the right to refuse or cancel Orders intended for delivery to destinations that we do not support, including destinations within the European Union through this Website.

4.12. Prices may be changed at any time. Such changes will not affect Orders that have already been confirmed.

5. Payment

5.1. Payment may be made by credit or debit card or PayPal, using the payment methods offered during checkout.

5.2. Payment is processed at the time the Order is placed.

5.3. The Order will only be processed once payment has been successfully completed.

5.4. An invoice will be issued automatically by the system once payment has been successfully completed.

5.5. You are responsible for any charges imposed by your payment provider. We must receive the full amount due for the Order.

6. Delivery

6.1. Delivery options and estimated delivery times are provided during checkout.

6.2. Delivery times are estimates only and are not guaranteed.

6.3. Unless otherwise agreed in writing, delivery is made on a DAP (Delivered At Place) basis in accordance with Incoterms® 2020.

6.4. Under DAP terms, the Customer is responsible for import clearance and any applicable import VAT, customs duties, brokerage charges, customs clearance fees, or other import-related charges.

6.5. The Customer is responsible for providing any information or documentation required by the courier, customs authorities, or other relevant authorities to complete import clearance.

6.6. Failure to provide a valid EORI number or other information required for customs clearance may result in delays, additional charges, or the shipment being returned. Any costs resulting from incorrect, incomplete, or missing information supplied by the Customer may be charged to the Customer to the extent permitted by applicable law.

6.7. Risk of loss or damage passes to you upon delivery in accordance with the applicable delivery terms.

6.8. You must inspect the Products upon receipt and report any visible damage or discrepancies without undue delay.

7. Returns & Refunds (B2B)

7.1. This Website is exclusively for business and professional customers and we do not offer consumer cancellation or cooling-off rights.

7.2. Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded under applicable law.

7.3. Returns are accepted only with prior written approval.

7.4. Where returns are approved, Products must be:

  1. unused and unopened;
  2. in original packaging; and
  3. returned within the timeframe specified by us.

7.5. Custom orders, consumables, and hygiene-sensitive items are non-returnable unless confirmed to be faulty or unless otherwise required by applicable law.

8. Faulty or Incorrect Products

8.1. If Products are defective, damaged in transit, or incorrect, you must notify us promptly and provide:

10. Safety Information & Documentation

10.1. Safety information and technical product documentation are available through this Website. Additional documentation, including Safety Data Sheets (where applicable), can also be provided upon request.

10.2. You are responsible for conducting any necessary risk assessments within your organisation and ensuring correct storage, handling, and disposal.

10.3. Where Safety Data Sheets (SDS) are provided, they are intended for professional handling and compliance purposes.

11. Limitation of Liability

11.1. Nothing in these Terms shall limit or exclude any liability that cannot lawfully be limited or excluded.

11.2. To the maximum extent permitted by applicable law, we shall not be liable for:

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to transport disruption, supplier delays, customs delays, or acts of government.

14. Privacy

We process personal data in accordance with our Privacy Policy.

15. Governing Law & Jurisdiction

15.1. These Terms & Conditions and any Contract between you and us are governed by the laws of Denmark.

15.2. Subject to any mandatory rights or jurisdictional rules that cannot lawfully be excluded, any dispute arising in connection with these Terms, the Website, or the supply of Products shall be subject to the exclusive jurisdiction of the courts of Denmark.
